The agreement
These terms apply to services provided by Optirank Studio FZ-LLC ("OptiRank Studio", "we") to a client ("you"). Where a signed statement of work or proposal says something different from this page, the signed document takes precedence.
Scope and change control
Every engagement starts with a written scope: what is included, what is explicitly not included, and what will be delivered. Project work is quoted at a fixed price against that scope.
If the scope needs to change — new templates appear, a migration date moves, a platform decision is reversed — we will say so, price the change, and get your agreement before doing the work. We do not bill for scope changes you have not approved.
Capped hours
Retainers are sold as a capped number of hours per calendar month, and the month's work is agreed in writing before it starts. Hours are tracked and visible to you during the month.
- Unused hours are reported and, unless agreed otherwise in the statement of work, do not roll over.
- If work is going to exceed the cap, we will tell you while it is happening and you decide whether to authorise additional hours.
- We will not exceed the cap and invoice for it retrospectively.
Your responsibilities
To do the work we need a few things from you. Where they are delayed, timelines move:
- Read access to the relevant tools — typically Search Console and analytics, and server logs or repository access where the engagement requires them.
- A named person who can answer questions about the stack and approve decisions.
- Responses to blocking questions within a reasonable period.
- Confirmation that you have the right to grant us the access you are granting.
Fees and payment
- Prices are quoted in US dollars and exclude any applicable taxes or duties.
- Project work is invoiced 50% on commencement and 50% on delivery, unless the statement of work says otherwise.
- Retainers are invoiced monthly in advance.
- Invoices are payable within fourteen days. We may pause work on overdue accounts after written notice.
Card payments are processed by Stripe, Inc. through its hosted checkout. We never see or store your full card number, and by paying an invoice you also agree to Stripe's Services Agreement for the payment itself. A failed or disputed card payment does not suspend your obligation to pay under this agreement.
Fees paid for work already delivered are non-refundable. Where a deposit is paid before work begins and the engagement is cancelled before any work has started, the deposit is refunded in full, less any payment processing fees already incurred.
Term and cancellation
Project engagements run until the agreed deliverables are handed over. Retainers have a stated minimum term — three months for the Growth Retainer, six for Fractional Technical SEO — after which either party may end the arrangement with thirty days' written notice, effective at the end of a billing month.
If you cancel a project after it has started, you are invoiced for work completed to that point and we hand over everything produced so far.
Intellectual property
On payment, everything produced specifically for you — audit documents, redirect maps, specifications, schema markup, code written for your repository — is yours.
We retain ownership of our own pre-existing methods, checklists, templates and internal tooling, and remain free to use the general knowledge and skills gained in the course of the work.
Confidentiality
Each party will keep the other's non-public information confidential and use it only for the engagement. We will not name you as a client, publish metrics, or write a case study about the work without your explicit written permission.
Results and warranties
We will perform the work with reasonable skill and care, in line with current technical SEO practice. We do not guarantee specific rankings, traffic volumes, revenue outcomes or indexation decisions, because search engines control those and nobody can honestly promise them.
What we do commit to is that the work will be done as scoped, measured against a baseline, and reported accurately — including when the numbers are unfavourable.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential loss, and our total liability arising from an engagement is limited to the fees paid for that engagement in the twelve months preceding the claim. Nothing in these terms limits liability for fraud or for anything that cannot lawfully be limited.
Governing law
These terms are governed by the laws of the United Arab Emirates, and the courts of Ras Al Khaimah have exclusive jurisdiction over any dispute arising from them.
